1. Acceptance and Agreement

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Institut Universitaire de Développement International, operating as IUDI University ("we", "us", "our", "Institution", or "University"). By accessing, browsing, registering for, or using our online learning management and student information platform (the "Platform", "Service"), you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Platform and may not access or use any services provided by the Institution. Your access to and use of the Platform is conditioned upon your acceptance of and compliance with these Terms.

These Terms supplement and are incorporated by reference into any enrollment agreements, student handbooks, or other institutional policies that may apply to your use of the Platform.

2. Definitions

  • Platform: The online learning management and student information system, including all websites, applications, software, content, and related services operated by the Institution.
  • User: Any individual who accesses, uses, or interacts with the Platform, including students, faculty, administrators, staff, and visitors.
  • Account: A registered user account providing access to Platform services and features.
  • Content: All materials, information, data, text, graphics, images, audio, video, software, and other content available on or through the Platform.
  • User Content: Any content submitted, uploaded, posted, or transmitted by Users through the Platform.
  • Institution Content: All Content owned, controlled, or licensed by the Institution.

3. Account Registration and Responsibilities

3.1 Account Creation

To access certain features of the Platform, you must create an account by providing accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password.

3.2 Account Security

You agree to:

  • Use a strong, unique password and keep it confidential
  • Immediately notify us of any unauthorized access or suspected security breach
  • Log out of your account at the end of each session
  • Not share your account credentials with any third party
  • Maintain and promptly update your account information to ensure accuracy

You are fully responsible for all activities that occur under your account, regardless of whether such activities are authorized by you. The Institution shall not be liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Eligibility

You represent and warrant that you are at least 18 years of age or have obtained parental or guardian consent, and have the legal capacity to enter into this Agreement. You further represent that all information provided during registration is truthful and accurate.

3.4 Account Termination

We reserve the right to suspend, disable, or terminate your account, with or without notice, for any violation of these Terms, violation of institutional policies, fraudulent activity, or any other reason we deem necessary to protect the Platform, other users, or the Institution.

4. Acceptable Use Policy

4.1 Permitted Use

The Platform may only be used for lawful educational purposes in accordance with these Terms and all applicable laws and regulations. You agree to use the Platform solely for legitimate academic and institutional purposes.

4.2 Prohibited Activities

You expressly agree NOT to:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property, privacy, or other rights of the Institution or third parties
  • Transmit or upload any malicious code, viruses, malware, or harmful software
  • Engage in hacking, phishing, or any form of unauthorized access to systems or data
  • Interfere with or disrupt the Platform, servers, or networks connected to the Platform
  • Use automated systems (bots, scrapers, etc.) to access the Platform without express written authorization
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or store personal information about other users without authorization
  • Post, transmit, or share content that is defamatory, harassing, threatening, abusive, or discriminatory
  • Engage in any commercial activities, advertising, or solicitation without authorization
  • Reverse engineer, decompile, or attempt to extract source code from the Platform
  • Circumvent or attempt to circumvent any security measures or access controls

Violation of this Acceptable Use Policy may result in immediate account termination, legal action, and reporting to law enforcement authorities.

5. Academic Integrity and Code of Conduct

5.1 Standards of Academic Integrity

Students enrolled in academic programs must maintain the highest standards of academic integrity at all times. Academic integrity violations include, but are not limited to:

  • Plagiarism: Representing the words, ideas, or work of others as your own without proper attribution
  • Cheating: Using unauthorized materials, assistance, or resources during examinations or assignments
  • Collusion: Unauthorized collaboration on assignments intended to be completed independently
  • Fabrication: Inventing or falsifying data, sources, or information
  • Facilitation: Assisting others in committing academic dishonesty
  • Multiple Submissions: Submitting the same work for multiple courses without authorization
  • Impersonation: Having another person complete assignments, examinations, or coursework on your behalf

5.2 Consequences of Academic Integrity Violations

Violations of academic integrity are considered serious offenses and will result in severe consequences, which may include:

  • Immediate failure of the assignment, examination, or course
  • Academic probation or suspension
  • Permanent dismissal from the program and Institution
  • Revocation of academic credits, degrees, or certificates
  • Reporting to external accrediting bodies or professional organizations
  • Legal action where applicable

The Institution reserves the right to investigate all suspected violations of academic integrity using any available means, including but not limited to plagiarism detection software, proctoring services, and review of digital activity logs.

5.3 Professional Conduct

All users must conduct themselves in a professional, respectful, and courteous manner when using the Platform. Harassment, discrimination, intimidation, or any form of inappropriate behavior will not be tolerated and may result in immediate account suspension or termination.

6. Academic Program Requirements and Policies

6.1 Enrollment and Course Requirements

Students must:

  • Complete all required coursework, assignments, and assessments according to specified deadlines
  • Maintain satisfactory academic progress as defined by program standards
  • Attend all mandatory sessions, meetings, and activities as required
  • Comply with all program-specific requirements and policies
  • Meet minimum grade point average (GPA) requirements for continued enrollment

6.2 Academic Standing

Failure to meet academic requirements may result in:

  • Academic warning or probation
  • Loss of financial aid eligibility
  • Suspension or dismissal from the program
  • Restriction of access to certain courses or services

6.3 Program Modifications

The Institution reserves the right to modify program requirements, curriculum, course content, schedules, and policies at any time. While we strive to provide advance notice of significant changes, you acknowledge that modifications may occur to maintain educational quality and comply with accreditation standards.

6.4 Withdrawal and Refund Policies

Withdrawal policies and refund eligibility are governed by institutional policies and enrollment agreements. Refunds are subject to specific deadlines and conditions as outlined in your enrollment documentation. Late withdrawals or withdrawals after program completion milestones may result in forfeiture of tuition and fees.

7. Payment Terms and Financial Obligations

7.1 Tuition and Fees

Tuition and fees are billed per module or program as specified in your enrollment agreement. All amounts are stated in the currency specified in your enrollment documentation. You agree to pay all amounts due according to the billing schedule provided by the Institution.

7.2 Payment Obligations

You are responsible for:

  • Timely payment of all tuition, fees, and charges
  • Maintaining current payment information on file
  • Notification of any billing disputes within thirty (30) days of invoice date
  • Payment of all applicable taxes, duties, or fees

7.3 Late Payments and Consequences

Failure to make timely payments may result in:

  • Assessment of late fees and interest charges
  • Restricted or suspended access to Platform services and course materials
  • Prevention of course registration or enrollment in future modules
  • Withholding of transcripts, certificates, or academic credentials
  • Referral to collection agencies or legal action
  • Reporting to credit bureaus

7.4 Refund Policy

Refund eligibility and amounts are determined in accordance with institutional refund policies, enrollment agreements, and applicable regulations. Refunds are processed according to established procedures and timelines. No refunds will be provided for completed modules or after specified withdrawal deadlines, except as required by law.

7.5 Payment Processing

Payments are processed through secure third-party payment processors. You acknowledge that payment information is subject to the privacy policies and terms of service of such processors. The Institution is not responsible for any errors or delays caused by payment processors.

8. Intellectual Property Rights

8.1 Institution Content Ownership

All content on the Platform, including but not limited to text, graphics, logos, images, audio, video, software, course materials, assessments, and all other content (collectively, "Institution Content"), is the exclusive property of Institut Universitaire de Développement International or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, the Institution grants you a limited, non-exclusive, non-transferable, revocable license to access and use Institution Content solely for your personal, non-commercial educational purposes during your enrollment period. This license does not include the right to:

  • Reproduce, copy, or duplicate Institution Content except as necessary for personal study
  • Distribute, share, or transmit Institution Content to third parties
  • Create derivative works based on Institution Content
  • Use Institution Content for commercial purposes
  • Remove, alter, or obscure copyright, trademark, or proprietary notices

All rights not expressly granted herein are reserved by the Institution.

8.3 User Content License

By submitting User Content to the Platform, you grant the Institution a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purposes of operating the Platform and providing educational services. You retain ownership of your User Content but waive any moral rights to the extent permitted by law.

8.4 Prohibited Uses

You may not:

  • Download, copy, or distribute Institution Content except as explicitly permitted
  • Record, stream, or broadcast course sessions without authorization
  • Share course materials, assessments, or answer keys with unauthorized parties
  • Create unauthorized copies of textbooks, course materials, or software
  • Use Institution trademarks, logos, or branding without express written permission

Violation of intellectual property rights may result in immediate account termination, legal action, and claims for damages.

9. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy. Please review the Privacy Policy carefully, as it describes how we collect, use, and protect your data.

10. Platform Availability and Modifications

10.1 Availability

While we strive to ensure the Platform is available continuously, we do not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

10.2 Modifications to Platform

We reserve the right to modify, suspend, discontinue, or terminate any aspect of the Platform at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Platform without notice or liability.

10.3 No Guarantees

The Institution does not warrant that the Platform will meet your specific requirements, be available on an uninterrupted basis, or be error-free. You acknowledge that use of the Platform is at your own risk.

11. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources. The Institution does not endorse and is not responsible for the content, privacy policies, or practices of third-party services. Your interactions with third parties are solely between you and such third parties. We shall not be liable for any loss or damage arising from such interactions.

12. Disclaimers and Limitations of Liability

12.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DISCLAIM ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE INSTITUTION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF FEES PAID BY YOU TO THE INSTITUTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Institution, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your infringement of any intellectual property or other rights
  • Your User Content
  • Your interactions with other users

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with our defense.

14. Termination

14.1 Termination by You

You may discontinue use of the Platform at any time. Termination of your account does not relieve you of any outstanding financial obligations.

14.2 Termination by Institution

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms or institutional policies
  • Violation of academic integrity standards
  • Non-payment of fees
  • Fraudulent activity or misrepresentation
  • Legal or regulatory requirements
  • Discontinuation of Platform services

14.3 Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Quebec, Canada.

15.2 Informal Resolution

Before initiating formal dispute resolution procedures, you agree to first contact us at legal@iudi.org to attempt to resolve any dispute informally.

15.3 Binding Arbitration

If a dispute cannot be resolved informally, you agree that any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the ADRIC Arbitration Rules, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

15.4 Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action, consolidated action, or representative proceeding.

16. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet failures, or acts of God.

17. Severability and Waiver

17.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remainder of these Terms shall remain in full force and effect.

17.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the Institution.

18. Entire Agreement and Modifications

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any enrollment agreements or institutional policies referenced herein, constitute the entire agreement between you and the Institution regarding your use of the Platform and supersede all prior agreements, understandings, or communications.

18.2 Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Material changes will be communicated through:

  • Email notification to your registered email address
  • Prominent notice on the Platform
  • Updated "Last Updated" date at the top of these Terms

Your continued use of the Platform after such modifications constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform immediately.

You are responsible for reviewing these Terms periodically to stay informed of any changes.

20. Acknowledgment

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING ALL POLICIES REFERENCED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE ALL USE OF THE PLATFORM.
